Megan Ambers
Ms. Ambers brings a deep understanding of home health and hospice labor strategies, operations, payor models, utilization, and organizational optimization from her tenure at Enhabit’s closest public peer, Amedisys.

She provides a profound knowledge of how to accelerate home health and hospice admission growth, particularly FFS admissions in home health, through incentive plan design, regulatory compliance, onboarding, and career development.

Her over 20 years of experience working in highly regulated industries with significant partnership and shared responsibility for enterprise risk management, compliance, and cyber security also demonstrates her expertise in these areas.

Biography:
Ms. Ambers currently serves as the Chief People Officer of Ivy Rehab Network, an industry-leading outpatient and pediatric healthcare provider offering physical, occupational, speech and ABA therapy, with over 560 locations and 5,600 teammates. She previously was a critical member of the management team of Amedisys, Inc. (NASDAQ: AMED, “Amedisys”), a leading provider of healthcare in the home, where she served as Interim Chief Human Resources Officer of Amedisys, from March 2022 to October 2022, as well as its Senior Vice President of Workforce Strategy, HR Innovation & Total Rewards, from 2018 to 2022. At the time of her departure, Amedisys had ~25,000 team members across ~350 home health care centers in 34 states, ~165 hospice care centers in 31 states, along with personal care and high-acuity care locations.
Under her leadership, Amedisys was named one of the Top 100 Places to Work in Healthcare in 2021 and 2022 by Modern Healthcare. Ivy Rehab was recently recognized as the only physical therapy company named as one of Modern Healthcare’s Best Places to Work in Healthcare in 2024. Ms. Ambers was also named a 2021 Future Leader by Home Health Care News.
Ms. Ambers received her B.A. in Sociology and Business Administration from the University of Akron.
James T. Corcoran
Mr. Corcoran brings extensive knowledge of capital markets and corporate governance practices.

He provides a stockholder’s perspective to the Board, and is well qualified, having three years of experience on a public company board, where he served on both the Audit and Nominating & Governance Committees.

He has a thorough understanding of the Company and the challenges it faces and has been intimately involved in all aspects of AREX’s investment in Enhabit.
Biography:
Mr. Corcoran currently serves as Partner of AREX Capital Management, LP, an investment management firm focused on special situations, activism, and catalyst-driven investing, since August 2019. Mr. Corcoran previously served as a Principal at Highfields Capital Management, a value-oriented investment management firm, from 2010 to 2016, where he also served as an analyst from 2010 to 2012. Mr. Corcoran served as a member of the board of directors of Tuesday Morning Corporation (NASDAQ: TUES), an off-price retailer, from 2017 to December 2020, where he also served as a member of the Audit and Nominating & Governance Committees.
Mr. Corcoran, a CFA charterholder, received an A.B. with honors in Economics and Political Science from the University of Chicago, as well as an M.B.A. from the Harvard Business School.
Maxine Hochhauser
Ms. Hochhauser brings more than 30 years of experience as a healthcare executive, focused mainly on home health and home care operations, and has a history of successfully navigating challenging financial, regulatory, and payor transitions.

She has a sophisticated grasp of operational management, having directed large home-based healthcare organizations and divisions, optimizing quality, efficiency, and profitability.

She has experience restructuring and turning around struggling healthcare operations, and she has a deep knowledge of the regulatory and compliance framework facing Enhabit.

Biography:
Ms. Hochhauser currently serves as CEO of HealthPRO Heritage, a national rehabilitation and health innovations company, operating across 40 states. She previously served as served as President of the Home and Community Based Services Division of LHC Group, a provider of in-home healthcare services, with 32,000 employees and 920 locations in 37 states and the District of Columbia, from 2019 to 2023. While there, she also led teams focused on transitioning home health staffing to provide care for patients that had per-visit payors which resulted in material gross profit improvement. She previously served as COO of Addus HomeCare Corporation (NASDAQ: ADUS), a leading provider of home personal care services, with 113 personal care locations in 24 states and 5 home health locations in 2 states, from 2014 to 2017.
She also served as Senior Vice President of Enterprise Operations of Amedisys, Inc. (NASDAQ: AMED), where she was responsible for implementation of targeted initiatives driving the continuum of care strategy, development of new product lines including health system joint ventures and ACO participation, and strategic relationships with health system partners, from 2012 to 2014. Prior to that, she served as CEO of Alliance Care, a private equity owned home healthcare company, from 2008 to 2012 and led them through a successful transaction with a strategic buyer.

Ms. Hochhauser received a B.S. in Physical Therapy from Boston University and an M.B.A. in Healthcare from Adelphi University.
Mark W. Ohlendorf
Mr. Ohlendorf brings 30 years of diverse experience in senior-related healthcare, including in the home health, hospice, and senior housing markets, in addition to his financial and accounting expertise.

He served as CFO of publicly traded Brookdale Senior Living for nearly a decade, where he also managed M&A, capital markets, and investor relations. He also helped oversee Brookdale's large ancillary service business focused on home health, hospice, and outpatient therapy.

He also previously served as CFO of VITAS Healthcare, a leading hospice provider.

He has significant turnaround experience, exemplified by his successful restructuring of Alterra Healthcare.

Biography:
Mr. Ohlendorf previously served as President of Brookdale Senior Living, Inc. (“Brookdale”) (NYSE: BKD), the largest operator of senior living communities in the United States, with 1,125 locations in 47 states with over 80,000 associates. From 1997 to 2016, he held various executive leadership roles for Brookdale and one of its predecessor companies, including serving as Brookdale’s CFO from 2007 to 2015. During his tenure, he developed people and system infrastructure for multiple product types and ancillary services businesses including outpatient therapy, home health, and hospice. He also previously served as Vice President and CFO for VITAS Healthcare Corporation, a leading hospice and palliative care provider, from 1990 to 1997.
Mr. Ohlendorf was a member of the board of directors of Argentum (formerly the Assisted Living Federation of America) from 2003 to 2016, serving as Chairman from 2011 to 2013. He was a member of the Board of Trustees of Illinois Wesleyan University from 2014 to 2023, where he served on the Audit, Investment, Farm Management, and Academic Affairs committees.
Mr. Ohlendorf graduated summa cum laude with a B.A. in Political Science from Illinois Wesleyan University.
Anna-Gene O’Neal
Ms. O'Neal brings 35 years of healthcare experience, including leadership positions in home health and hospice operations, and brings a strong track record of driving business growth and improving the quality of patient care.

She has an expansive understanding of how to drive hospice census growth through market share expansion and improved patient satisfaction.

She was previously Division President of Brookdale Senior Living’s large home health, hospice, and outpatient therapy division, where she was responsible for all financial, operational, and strategic initiatives, including significantly expanded payor contracting.

Biography:
Ms. O’Neal has served as an independent consultant in which she supports operational assessments and develops strategic plans for accelerated growth within the healthcare industry since April 2022. She also currently serves as Senior Vice President of Home Health, Hospice, and Palliative Care at HarmonyCares, a Michigan-based provider of home-based healthcare services, since December 2023. She previously served as the Division President for Healthcare Services (home health, hospice, and outpatient therapy) for Brookdale Senior Living, Inc. (NYSE: BKD) from August 2019 to July 2021, as well as Interim Division President from July 2019 to August 2019. She also served in a post-acquisition role as President, Hospice Service Line for HCA Healthcare, Inc. (NYSE: HCA) from July 2021 to January 2022. From 2012 to 2019, she served as the President and CEO of Alive Hospice, a Tennessee-based non-profit hospice provider consistently ranked among the best in the nation.

Ms. O’Neal is a registered nurse and received a B.S.N. and M.S.N. from Vanderbilt University’s School of Nursing as well as an M.B.A. from Vanderbilt University’s Owen Graduate School of Management.
Dr. Gregory S. Sheff
Dr. Sheff brings a comprehensive understanding of home health and hospice operations and insight into large payors along with more than 20 years of healthcare experience, both as a practicing physician and executive, with a particular focus on home- and value-based care.

He has extensive experience managing clinical or operational outcomes of home health and hospice companies, including developing successful strategies to address changing payor mix.

He previously helped lead the home health strategy and operations of Humana, the second largest Medicare Advantage payor in the U.S.

He has been an advisor to companies providing advanced analytics to home health and hospice companies and creating value-based networks for payors and home health providers.

Biography:
Dr. Sheff most recently served as Interim President, Home Solutions, from June 2021 to February 2022, and Chief Medical Officer, Home Solutions, from November 2020 to February 2022, for Humana, Inc. (NYSE: HUM). At Humana, he oversaw its home-focused delivery segment with more than $2 billion in revenue, where he was responsible for operations, partnerships, and integration of multiple home-based care assets, from primary care to hospital-at-home to Medicare-certified home health. Previously he was Executive Vice President and Chief Medical Officer of AccentCare, one of the nation’s leaders in home-based healthcare services, from 2015 to December 2019. At AccentCare he led the teams responsible for clinical operations, innovation, quality and coding as well as market development, provider joint ventures and payer partnerships.
Dr. Sheff currently serves as a board member or advisor for several privately held healthcare companies. He holds degrees with honors from Stanford University and the University of New Mexico School of Medicine
Juan Vallarino
Mr. Vallarino brings more than 40 years of experience in the healthcare industry and has extensive knowledge of multifaceted home health and post-acute experience, as well as a deep understanding of managed care payor negotiations.

He served as CEO of myNEXUS, a convener working with payors and post-acute providers, prior to its sale to Anthem (now Elevance Health), one of the largest payors in the U.S.

He was previously responsible for payor negotiations at HCA, the largest hospital system in the U.S., with over $30 billion in annual revenue.

He has direct operating experience in home health from his tenure at HCA.

He has significant M&A and regulatory compliance experience.
Biography:
Mr. Vallarino currently serves as President and CEO of myLaurel (and its predecessor company), a leader in providing high-acuity, high-complexity care in patients’ homes, since June 2021. Prior to that, Mr. Vallarino served as CEO of myNEXUS, a leading provider of comprehensive home-based nursing management to health insurers, from December 2019 until its successful sale in June 2021 to Anthem. During his time at myNEXUS, Mr. Vallarino also served as Vice Chairman from February 2018 to November 2019. In 1993, He joined HCA Healthcare, Inc. (NYSE: HCA, “HCA”), an operator of health care facilities, and served various roles there, including Senior Vice President of Employer and Payer Engagement from 2011 to 2016. During his time at HCA, Mr. Vallarino also held positions in Government Programs Compliance, Home Health Services, and Physician Management Services.
Mr. Vallarino currently serves as a member on various boards of directors, including North American Partners in Anesthesia, the nation's largest anesthesia staffing company, since September 2017; Newport Healthcare, a leading provider of behavioral health services to young adults, since November 2021; and Genesis Healthcare, Inc. (OTC: GENN), a leading skilled nursing facility operator, since July 2022.
